“FashIcon” refers to a software application developed by and all related services ("Services") provided by or on behalf of FASHICON IT (SHANGHAI) CO., LTD. and its controlled companies or affiliates (hereinafter collectively referred to as "we", "us", "our").
For all purposes of these Terms, “You” refers to the end user of FashIcon in the People’s Republic of China.
IF YOU ARE UNDER THE AGE OF 13, YOU MUST NOT USE FASHICON. IF YOU ARE BETWEEN THE AGE OF 13 AND 18 OR RELEVANT AGE IN YOUR JURISDICTION WHERE YOU ARE CONSIDERED AS A MINOR, YOUR PARENT OR GUARDIAN, BOTH THEMSELVES AND ON YOUR BEHALF, MUST AGREE TO THESE TERMS BEFORE YOU CAN USE FASHICON.
BY INSTALLING, USING OR OTHERWISE ACCESSING FASHICON, YOU AGREE TO THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, PLEASE DO NOT INSTALL, USE, OR OTHERWISE ACCESS FASHICON. THE USE OF FASHICON IS VOID WHERE PROHIBITED.
Subject to your agreement and continuing compliance with these Terms, we grant you a non-exclusive, non-transferable, non-sublicensable, revocable limited license to access and use FashIcon for your own non-commercial and commercial purposes, as agreed to in the chosen package. You agree not to use FashIcon for any other purpose. You must comply with these Terms and any policy available in FashIcon during your use of FashIcon and only use FashIcon as permitted by applicable laws and regulations, wherever you may be when you use FashIcon. For example, you agree that you will not, under any circumstances, use FashIcon to produce, store and make public, any content infringing upon any third party’s rights to its reputation, portraiture, privacy, design, trademark and any other lawful rights. Using FashIcon does not give you the ownership of our intellectual property rights in FashIcon. All rights, title and interest in and to FashIcon (including, but not limited to, any program, any future updates, computer code, themes, objects, characters, in-side design and artwork, image setting profile information, trademark visual effects, user interfaces, functionality, methods of operation, trademark, titles, moral rights, documentation and so on) are owned by us and our licensors. We reserve all rights, including, but not limited to, all intellectual property rights or other proprietary rights, in connection with FashIcon and the Services. As expressly provided in these Terms, you must accept that you have no rights to our intellectual property, in particular to the use of our trademarks, product names, domain names or any other distinctive brand features.
WE RESERVE THE RIGHT TO DETERMINE WHAT CONDUCT WE DEEM TO BE IN CONFLICT WITH THE SPIRIT OR INTENT OF FASHICON AND ALL RELATED SERVICES OR MAKE IMPROPER USE OF FASHICON.
Although it is our intention for the Services in FashIcon to be available as much as possible, there will be occasions when the Services in FashIcon may be at our sole discretion suspended or terminated, including, but not limited to, for scheduled maintenance or upgrades, for emergency repairs, for our sole business strategy shift. Where reasonably practicable, we will give you notice of any suspension or termination. Notwithstanding the abovementioned, we will under no circumstances be held liable to you for any loss and cost arising from or in connection with the suspension and/or termination of our Services in FashIcon. We recommend that you keep a backup copy of Your Content at all times.
FASHICON IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS AND NEITHER WE NOR OUR CONTROLLED COMPANIES NOR OUR AFFILIATES NOR ANY OF OUR EMPLOYEES, MANAGERS, OFFICERS OR AGENTS MAKE ANY REPRESENTATIONS OR WARRANTIES OR UNDERTAKINGS OF ANY KIND WHATSOEVER, EXPLICITLY OR IMPLIED, AS TO, INCLUDING, BUT NOT LIMITED TO, THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND THOSE ARISING FROM COURSE OF DEALING OR USAGE OF SERVICES. TO THE EXTENT PERMITTED BY LAWS AND REGULATIONS, WE EXCLUDE ALL WARRANTIES.
TO THE EXTENT PERMITTED BY LAWS AND REGULATIONS, WE SHALL IN NO EVENT BE LIABLE TO YOU FOR DAMAGES, FOR LOSS OF REVENUES OR PROFITS, LOSS OF GOODWILL OR ANY INCIDENTAL, CONSEQUENTIAL, INDIRECT OR SPECIAL DAMAGES IN CONNECTION WITH FASHICON AND THE SERVICES, WHETHER OR NOT WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGE. THE AGGREGATE LIABILITY OF FASHICON FOR ALL CLAIMS FOR ANY LOSS, DAMAGE OR INDEMNITY WHATSOEVER RESULTING FROM YOUR USE OF FASHICON SHALL IN NO CASE EXCEED THE AMOUNT THAT YOU HAVE PAID TO US FOR YOUR USE OF FASHICON TO WHICH THE CLAIM RELATES IN THE 6 MONTHS IMMEDIATELY PRECEDING THE DATE OF THE MOST RECENT CLAIM.
These Terms, including, but not limited to, its conclusion, validity, construction, performance and settlement of the disputes, shall be governed by the law of the People’s Republic of China, without giving effect to the principles of conflict of law. Any dispute arising from, or in connection with the Contract shall be first settled through friendly negotiation between You and us. In the case where no settlement to disputes can be reached through amicable negotiation, the disputes shall then be submitted to the competent jurisdictional authority in Shanghai (PRC). The arbitration proceedings will be conducted in English. The arbitral award is final and binding upon both parties. The arbitration fees shall be borne by the losing one except otherwise awarded by the arbitration commission.
These Terms may be translated in various languages and the English version of these Terms shall prevail and override.
If you are a user of FashIcon in the United States of America, the following terms are incorporated into
these Terms, and override these Terms to the extent of any inconsistency that occurs:
If you are a California resident, you agree to waive California Civil Code Section 1542, and any similar provision in any other jurisdiction (if you are a resident of such other jurisdiction), which states: "A general release does not extend to claims which the creditor does not know or suspect to exist in his favour at the time of executing the release, which, if known by him must have materially affected his settlement with the debtor."
EACH OF YOU AND US HERETO IRREVOCABLY WAIVES ANY AND ALL RIGHT TO TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION IN ANY LEGAL PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS OR THE TRANSACTIONS CONTEMPLATED HEREBY.

Newsletters and other types of communications: when you use our service, we may use your Information to send you emails, newsletters or push notifications to your device. If you no longer wish to receive these communications, you can do so by following the unsubscribe instructions in the emails we send to you, opting out of notifications at the device level (if available) or contacting our Privacy Officer via the contact information within this Policy.
Service-related announcements: we may from time to time send you service-related announcements when we consider it necessary to do so (such as when we temporarily suspend one of our services for maintenance). You may not opt-out of these service-related announcements, which are not promotional in nature.
In some jurisdictions, certain Personal Information, such as information about your race or ethnic origin, religious or philosophical views or personal health, is characterised as “sensitive” and is subject to stricter regulation than other personal information. Please note that content and information that you input to our services, such as photographs or information about your school or social activities, may reveal your sensitive Personal Information to others. Children under the age of 13 are not allowed to use our services. We do not knowingly collect Personal Information from any children under the age of 13. Please contact our Privacy Officer if you believe we have any Personal Information from any children under the age of 13 and we will promptly investigate (and remove) such Personal Information. Different age restrictions may apply based on the user’s global location.
We operate and may continue to operate servers in a number of jurisdictions around the world, so the server on which your Personal Information is used and stored may not be in your jurisdiction.
We use a variety of security technologies and procedures for the purpose of preventing loss, misuse, unauthorised access or disclosure of Information. In our service, we will use encryption technology (such as SSL) to protect certain sensitive Information (such as location data) provided by you to us. Please be aware that despite our efforts, no data security measures can guarantee 100% security at all times. Subject to applicable laws and regulations, you may have the right to request to receive a copy of and make any corrections to your Personal Information which we hold, and to request that we deactivate and not use any of your Personal Information that is stored by us. You may direct such request to our Privacy Officer, or where we offer this option in our services, you may also log into your account with us and make the appropriate changes. We will respond to all requests made to our Privacy Officer under this “Period of use of your personal information” section within 60 days.
Should your account be terminated by you or us for any reason, we will (subject to the above paragraph) take steps to ensure that your Personal Information is no longer available through our services, or otherwise used by us, within a reasonable period of time (subject to technical limitations) after such account termination. However, it is important to note that communications made by you using our services may put your Personal Information in the hands of third parties that we cannot control.
